Ironwood Stair & Rail Terms & Conditions

These Terms and Conditions (“Terms”) govern the relationship between Ironwood Stair & Rail, Inc. (“Ironwood”) and our customers (“Customers”) including but not limited to the design, manufacturing, and installation of staircases, railings, and related products. By engaging with Ironwood for our services, Customers agree to abide by these Terms and Conditions in their entirety.

 

 

1.      Scope of Work

1.1.      Ironwood provides custom design, construction, and installation of staircases, railings, and associated products tailored to your specifications as specified in the estimate or agreed upon in writing.

1.2.      Ironwood services include consultation, design, material selection, fabrication, installation, and any necessary follow-up services to ensure your complete satisfaction.

 

2.      Quotations, Estimates, and Orders

2.1.      All quotations and estimates provided by Ironwood are valid for a period of 30 days from the date of issuance.

2.2.      Quotations and estimates provided by Ironwood are estimates based on the information available at the time of estimate. Final pricing may vary based on actual measurements, design alterations, or additional requirements.

2.3.      Orders are considered confirmed upon the digital acceptance of an Ironwood estimate and receipt of required retainer deposit.

2.4.      Any changes to confirmed orders may result in adjustments to pricing and timelines, subject to mutual agreement between Ironwood and the Customer.

 

3.      Payment Terms

3.1.      The Customer agrees to engage Ironwood for the scope of work outlined in the Estimate.

3.2.      Prior to the start of the project, Customers shall make a non-refundable retainer payment of 50% of the total project cost.

3.3.      At the discretion of Ironwood Stairs, additional installment payments may be required throughout the duration of the project.

3.4.      The remaining balance of the project shall be due upon completion of the installation.

3.5.      Payment shall be made according to the payment schedule provided by Ironwood.

3.6.      Late payments may be subject to penalties or interest charges as specified by Ironwood.

 

4.      Design and Materials

4.1.      Ironwood will work closely with the Customer to create designs that meet their aesthetic preferences and functional requirements.

4.2.      Material selection will be based on the specifications agreed upon between Ironwood and the Customer as outlined in the Estimate.

4.3.      Any changes to materials must be approved in writing and may, at the sole discretion of Ironwood, result in additional costs, and shall be borne by the Customer.

4.4.      Ironwood retains ownership of all Materials until full payment is received.

 

5.      Installation

5.1.      Ironwood will schedule installation at a mutually agreed-upon time and date with the Customer.

5.2.      Ironwood will use reasonable efforts to complete the installation within the agreed-upon timeframe, subject to unforeseen circumstances.

5.3.      Access to and adequate space in the installation site must be provided as per agreed-upon arrangements.

5.4.      The Customer is responsible for ensuring the site is ready for installation, including the removal of obstacles and adherence to safety regulations.

5.5.      Ironwood Stair & Rail Inc. will take necessary precautions to ensure the safety of our personnel and the property during installation.

5.6.      Any delays due to factors beyond Ironwood’s control shall not be grounds for termination or compensation.

 

6.      Warranty

6.1.      Ironwood offers a two (2) year limited warranty for the stair and rail products from the date of completion of installation by Ironwood or its authorized agents. The terms and conditions of this warranty are detailed on our warranty page, titled “Ironwood Stair & Rail Limited Warranty” (the “Warranty Page”).

6.2.      By engaging Ironwood services, the Customer acknowledges and agrees to the terms of the Ironwood Stair & Rail Limited Warranty as outlined on the Warranty Page.

 

7.      Limitation of Liability

7.1.      Ironwood shall not be liable for any incidental, consequential, indirect, special, or punitive damages, including but not limited to loss of profits or opportunities arising out of the use or inability to use the products.

7.2.      Ironwood’s liability for any claims, whether in contract, tort, or otherwise, is limited to the total amount paid by the Client under the Agreement.

 

8.      Customer-Requested Building Code Non-Compliant Products and Services

8.1.   In the event that a Customer requests the purchase or installation of products or services that are knowingly non-compliant with local building codes or regulations, Ironwood shall not be held liable for any legal consequences, damages, or liabilities arising from such non-compliance.

8.2.   By requesting the purchase or installation of products or services that are knowingly non-compliant with local building codes or regulations, the Customer acknowledges and assumes all responsibility for any associated risks, liabilities, or legal consequences.

8.3.   The inclusion of non-compliant products or installations at the request of the Customer does not exempt Ironwood from any other provisions outlined in these Terms and Conditions.

8.4.   Ironwood shall not be responsible for any penalties, fines, or legal actions resulting from the use or installation of non-compliant products or services, regardless of the Customer’s explicit request or consent.

8.5.   The Customer agrees to indemnify and hold Ironwood harmless from any claims, personal injury, damages, or liabilities arising from the purchase or installation of non-compliant products or services requested by the Customer.

8.6. This provision shall be deemed an integral part of these Terms and Conditions and shall be enforceable to the fullest extent permitted by law, irrespective of any other provisions herein.

 

9.      Dispute Resolution & Cancellations

9.1.      Any disputes arising from these Terms and Conditions or the provision of Ironwood services shall be resolved through negotiation and, if necessary, mediation, before resorting to legal action.

9.2.      Either party may cancel the project in writing if the other party breaches any material terms of these Terms and Conditions and fails to remedy the breach within a reasonable specified period of time as agreed upon by both parties.

9.3.      The Customer shall pay Ironwood for all costs incurred and work completed up to the cancellation date.

 

10.      Governing Law

10.1.      These Terms and Conditions and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Alberta and the laws of Canada applicable therein.

 

11.      Amendment of Terms and Conditions

11.1.  Ironwood Stair & Rail Inc. reserves the right to amend these Terms and Conditions at any time.

11.2.  Customers will be notified of any changes, and continued use of our Services will constitute acceptance of the modified terms.

 

By accepting Ironwood’s estimates and engaging Ironwood’s services, Customers acknowledge that they have read, understood, and agree to be bound by these Terms and Conditions.
